  • Is the seller willing to provide you with debt clearance confirmation?
  • Is this taxpayer registered in the VIES system or in the list of financial administration of the Slovak republic? 
  • Was the current owner of the company issued the tax administrator's consent? Without this consent, the Commercial Register will not allow the transfer of the limited liability company. 

The procedure 

HOW TO PURCHASE VAT REGISTERED SLOVAK READY MADE S.R.O.

  3. You will select a specific company and send us the necessary information to prepare the accompanying. documentation (new name, new registered office, partner, executive manager, ...). 
  4. We will then send you the prepared transfer documentation to your e-mail for review.
  5. We meet at a notary in Slovakia and together we will verify the documents. (Optionally, you can print out the documentation, verify the signatures at the Slovak embassy in UK and then deliver the documents to us by mail or in person.)  
  6. We then scan the documents and electronically submit them to the Slovak Commercial Register. 
  7. After the changes are registered in the Commercial Register, we will send you a confirmation of the entry.

What to watch out for when purchasing a VAT registered s.r.o. in Slovakia.

  1. If you are buying a slovak VAT registered company with a history, we recommend that you ask the company or individual for debt clearance confirmation from all relevant entities (i.e. the Central Distraint Register, Financial Office, Social Insurance Agency and, last but not least, Health Insurance Agency). The information about the company at www.finstat.sk or www.dlznik.sk may not be up to date. We also encourage those interested in purchasing a slovak VAT taxpayer with a history to inquire at the appropriate county court whether there are legal proceedings against the company.
  2. When transferring a business interest in a purchased VAT registered company, you should at least insist the original owner of the company signs an affidavit on indebtedness (among other things, it will make it easier for you to file a claim against the individual who made the declaration).
  3. The company you purchase must be included in the VAT Information Exchange System (VIES) and in the List of Taxpayers Registered for VAT led by the Financial Administration Office even if you have a VAT registration certificate (the pink card). The information in these databases is updated every day.
  4. It is not possible to make changes in the Commercial Register without the consent of the tax administrator granted to a shareholder in the company you are buying who owns a majority of shares. Ask for this consent before signing the contract. The consent must not be more than 3 months old.
  5. A proper taxpayer should always be registered pursuant to Section 4 of Act 222/2004 Coll. on value added tax, not according to Section 7. (This information must also be entered on the VAT payment certificate)
